These Terms of Use govern the relationship between SipCode Brasil (“SipCode”, “we”) and the companies that contract or use any solution in the SipCode Ecosystem (“Client”, “you”), as well as access to and use of this website. By contracting a solution, becoming a partner, or simply browsing this website, you agree to the terms described below.

1. About SipCode

SipCode is a Brazilian business communication technology company, headquartered in Saquarema, Rio de Janeiro, operating in the market since 2007. Our operations are exclusively B2B — all solutions described in these Terms are contracted by legal entities, for business use.

2. The SipCode Ecosystem

SipCode offers an integrated set of business communication solutions, including: Cloud PBX, Cloud PBX VoIPSecurity, Multiatendimento Flex, CCB Lite, ClickSIP, WhatsApp Dashboard, UnifySAC Prospecta, Zap360, Smart-SIP Softphone, and APIs, in addition to new solutions periodically incorporated into the Ecosystem. Each solution has its own page on this website, with a detailed description of features, plans, and specific conditions.

SipCode may add, modify, discontinue, or replace features of any solution at any time, always seeking to communicate relevant changes to active clients with reasonable advance notice.

3. Contracting and B2B Nature

Contracting any solution in the SipCode Ecosystem is done through a demo request, service by a specialist, and specific commercial formalization (proposal, order, or contract), which prevails over these Terms in the event of a conflict regarding particular commercial conditions (price, term, specific SLA).

These Terms apply to all clients, regardless of size or segment, and are not intended for individual end consumers.

4. Plans, Pricing, and Payment

Plans and prices for each solution are listed on their respective pages on this website or presented during the sales process, in the case of solutions without published fixed pricing. Billing follows the model agreed upon at the time of contracting, generally on a monthly cycle.

5. Client Obligations

When contracting a SipCode solution, the Client agrees to:

  • Provide truthful, complete, and up-to-date information at the time of contracting;
  • Use the solutions exclusively for lawful purposes compatible with its business activity;
  • Not use the solutions to send spam, commit fraud, abusive dialing, or any practice that violates Brazilian telecommunications and data protection legislation;
  • Maintain the confidentiality of access credentials (extensions, administrative panels, API integrations) provided by SipCode;
  • Make payments under the agreed conditions.

6. SipCode Obligations

SipCode agrees to:

  • Provide contracted solutions with the level of quality and availability described in the commercial proposal or solution page;
  • Provide technical support according to the channel and timeframe applicable to the contracted plan;
  • Ensure the security of the infrastructure used in providing the services;
  • Communicate scheduled maintenance interruptions in advance whenever possible.

7. Intellectual Property

All content on this website — including text, brand, logo, visual identity, layout, and promotional materials — is the property of SipCode or its licensors, protected by Brazilian intellectual property legislation. Reproduction, copying, or unauthorized use of these materials is prohibited.

Proprietary solutions in the SipCode Ecosystem, including Mapper360 and Zap360, are owned and developed by SipCode. Contracting any solution does not transfer to the Client intellectual property rights over the technology used, only the right of use as licensed.

8. Partner Program

SipCode maintains a Partner Program open to IT consultancies, telecom resellers, marketing and sales agencies, and independent B2B sales professionals, described in detail on the Partners page of this website. Participation in the program is subject to SipCode’s approval and specific commercial conditions, which prevail over these Terms regarding commissioning and partnership rules.

9. Confidentiality

Both parties agree to maintain confidentiality regarding confidential information exchanged due to the business relationship, including commercial conditions, technical data, and client information, not disclosing it to third parties without prior authorization, except when required by law or a competent authority.

10. Availability and Technical Support

SipCode makes its best efforts to keep solutions continuously available, but does not guarantee uninterrupted availability, given the nature of technology services dependent on third-party infrastructure (such as internet and power providers). Occasional instabilities may occur and are handled through the technical support channels available for each plan.

12. Suspension and Termination

SipCode may suspend or terminate access to any solution in the event of non-compliance with these Terms, unresolved delinquency after notification, or improper use that endangers the infrastructure or other clients. The Client may request cancellation of any contracted solution according to the term and prior notice conditions set out in the corresponding commercial proposal.

13. Privacy and Data Protection

The processing of personal data by SipCode is governed by our Privacy Policy, prepared in accordance with the Brazilian General Data Protection Law (LGPD — Law No. 13,709/2018), which is incorporated into these Terms by reference.

14. Changes to These Terms

SipCode may update these Terms of Use periodically, to reflect changes in our solutions, applicable legislation, or our commercial practices. The date at the top of this document indicates the current version. Continued use of the website or solutions after an update constitutes acceptance of the new terms.

15. Applicable Law and Jurisdiction

These Terms of Use are governed by the laws of the Federative Republic of Brazil. The courts of SipCode’s domicile are elected to resolve any disputes arising from these Terms, except for a specific contractual provision to the contrary, formalized between the parties.
